Serena, chartered accountant, counsels companies on complex tax issues linked to the income and transfer tax implications of M&A transactions, joint ventures (corporate and contractual), and real estate transactions.
Working alongside the financial institutions and capital markets teams, her practice also encompasses the development and investment structures normally used by institutional investors, cross-border flows and arrangements, LBO, financial markets and structured finance, and international tax planning.
Serena navigates clients on a day-by-day basis in facing the tax challenges of international and cross-border deals in the real estate, life science and financial services industries. Her advice spans from the structuring of new investments and acquisitions to the restructuring of existing businesses, from the drafting of contractual clauses on purchase price determination, adjustment, indemnity mechanisms and the like, especially in the more complex M&A transactions, to the post-closing assistance on tax claims procedures and business reorganizations.
She also serves as tax counsel for public and private REITs, lodging companies and other real estate companies.
Moreover, Serena supports clients on all tax aspects of tax rulings, tax audits and tax proceedings in-court and out-of-court.
Serena periodically lectures LUISS Business School and Il Sole 24 Ore post-graduate courses. She has co-authored several books, including “Private Equity and Venture Capital - Regulation and Good Practice” published by AIFI, and actively collaborates with leading industry journals for articles and insights. Moreover, Serena is frequently invited as a speaker at numerous conferences and seminars.
