Dylan Hays focuses his practice on transactional tax matters related to strategic and capital markets transactions, particularly those involving real estate investment trusts (REITs).

Dylan has experience advising clients on the tax considerations underlying various types of commercial transactions, including mergers and acquisitions, joint ventures, REIT formation, UPREIT transactions, and ongoing operational matters, including compliance with tax protection agreements. He has also worked on numerous public offerings of debt and equity.

While in law school, Dylan was a member of the George Washington Law Review, in which he was also a published author.

VICI Properties Inc. on its US$17.2bn strategic acquisition of MGM Growth Properties LLC, creating America’s largest owner of experiential real estate.

Kite Realty Group Trust in its merger with Retail Properties of America, Inc., creating a combined enterprise value of approximately US$7.5bn.

Franklin BSP Realty Trust, Inc., on its merger with Capstead Mortgage Corporation, creating a company with total assets of US$11.3bn.

REIT counsel to Public Storage and PS Business Parks, Inc. (PSB) in the sale of PSB to affiliates of Blackstone Inc., valued at US$7.6bn.

QTS Realty Trust, Inc. in its sale to affiliates of Blackstone Inc., valued at US$10bn including assumption of debt.

Duke Realty Corporation, in connection with its approximately US$23bn combination with Prologis, Inc., a publicly listed leader in logistics real estate.
